Legal ramifications for two illegal states?

If a surrogate and Intended Parents enter into a contractual agreement for Compassionate Traditional Surrogacy services, will that contract hold up in court and are there criminal consequences for drafting a contract in the first place? How would the adoption of the baby and terminating of the surrogate's parental rights be handled in that situation legally?
